License Terms

1. Parties and Acceptance
This License Agreement (“Agreement”) is entered into by and between the Center for Workplace Compliance (“CWC”), a nonprofit association located at 1501 M Street NW, Suite 1000, Washington, DC 20005, and the organization (“Licensee”) that has completed the online license acknowledgment process through www.cwc.org. By completing the online acknowledgment, Licensee agrees to the terms and conditions of this Agreement. This Agreement is not customized for individual organizations and applies uniformly to all licensees.

2. Grant of License
CWC grants Licensee a non-exclusive, non-transferable, limited license to access and use CWC’s Equal Employment Opportunity Compliance Training course (“Training Content”) for internal training purposes only, for a period of one (1) year from the Effective Date.

3. Scope of Use

• Provide access to the Training Content to its employees involved in recruitment, screening, selection, promotion, disciplinary, and related processes.
• Host the Training Content on its internal learning management system (LMS) or request hosting by CWC.
• Customize the Training Content with minor branding or instructional modifications, subject to CWC approval and applicable fees.

• Resell, sublicense, or distribute the Training Content externally.
• Post the Training Content on public websites or platforms without access controls.
• Modify the Training Content beyond approved customizations.

4. Compliance
The Training Content is designed to satisfy, among other requirements, the specific training requirements under 41 CFR 60-741.44(j) and 41 CFR 60-300.44(j). Licensee is responsible for ensuring that its use of the Training Content aligns with applicable federal contractor obligations.

5. Fees and Payment
Licensee agrees to pay the applicable license fee for the one-year term, as determined by CWC based on factors such as membership status and licensing scope. Payment is due within thirty (30) days of invoice. Additional fees may apply for optional services, including hosting, customization, or expanded access.

6. Renewals
This Agreement may be renewed for additional one-year terms upon mutual agreement of the parties and payment of the then-applicable license fee. Renewal terms will be subject to the terms and conditions in effect at the time of renewal.

7. Course Updates
During the term of any fully paid license, Licensee will be entitled to receive any updates made by CWC to the Training Content. Updates will be provided in a format compatible with the original delivery method and may include revisions to reflect changes in applicable law or regulatory guidance.

8. Intellectual Property
CWC retains all rights, title, and interest in the Training Content. Licensee may not remove copyright notices or use the content to create derivative works beyond the scope of this Agreement.

9. Confidentiality
Licensee agrees to maintain the confidentiality of the Training Content and not disclose it to third parties except as permitted under this Agreement.

10. Termination
CWC may terminate this Agreement if Licensee breaches any term. Upon termination or expiration of the license term, Licensee must cease use of the Training Content and remove it from all systems, including its LMS.

11. Limitation of Liability
CWC shall not be liable for indirect, incidental, or consequential damages arising from Licensee’s use of the Training Content.

12. Governing Law
This Agreement shall be governed by the laws of the District of Columbia.

13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior communications. Amendments must be in writing and signed by both parties.

ACCEPTANCE OF TERMS
By purchasing, downloading, or otherwise accessing the EEO Compliance Training content, Licensee acknowledges and agrees to the terms and conditions of this License Agreement. Completion of the purchase or activation of the license constitutes acceptance of this Agreement.
