License Terms
1. Parties and Acceptance
This License Agreement (“Agreement”) is entered into by and between the Center for Workplace Compliance (“CWC”), a nonprofit association located at 1501 M Street NW, Suite 1000, Washington, DC 20005, and the individual (“Licensee”) who has completed the online license acknowledgment process through www.cwc.org. By completing the online acknowledgment and purchase process, whether through payment or the redemption of a coupon or complimentary credit, Licensee agrees to the terms and conditions of this Agreement. This Agreement applies uniformly to all licensees and is not customized for individual organizations.
2. Grant of License
CWC grants Licensee a non-exclusive, non-transferable, limited license to access and use CWC’s Data Center (“Data Center Content”) for internal purposes only, for a period of twelve (12) months from the date of purchase, subject to the eligibility requirements in Section 3.
3. Eligibility, Membership Status, and Term
(a) Eligible Licensees
Access to the Data Center is limited to individuals who are employed by either (i) a CWC member organization in good standing, or (ii) an eligible non-member organization (each a “Licensee’s Organization”), and who have completed the Data Center license purchase process, either by paying the applicable license fee or by redeeming a coupon or complimentary credit issued by CWC. For purposes of this Agreement, completion of the license purchase process constitutes a “purchase” regardless of whether a license fee is paid.
(b) License Term for Paid Licenses
Except as provided in subsection (c) below, each Data Center license obtained through payment of the applicable license fee is valid for twelve (12) months from the date of purchase, regardless of the Licensee’s Organization’s membership status. Licenses obtained through the redemption of a coupon or complimentary credit are governed exclusively by subsection (d) and are not subject to this subsection.
(c) Effect of Change in Membership Status on Member-Priced Purchased Licenses
If a Licensee purchases a Data Center license at a discounted member price and the Licensee’s Organization ceases to be a CWC member in good standing before the end of the twelve-month License Term, the discounted member-priced license will terminate as of the effective date of the membership lapse.
In such cases, the Licensee may, at CWC’s discretion, purchase a non-member Data Center license for the remainder of the original twelve-month License Term, on such terms and pricing (including any proration) as CWC may offer at that time. No credits or refunds will be issued for any terminated member-priced license.
(d) License Term for Complimentary Licenses
Any Data Center license obtained through the redemption of a complimentary credit issued by CWC is available only to individuals employed by CWC member organizations in good standing and will expire on the earlier of:
(i) twelve (12) months from the date the complimentary credit is redeemed, or
(ii) the date on which the Licensee’s Organization ceases to be a CWC member in good standing.
No credits, extensions, or refunds will be issued for complimentary licenses that expire due to a change in membership status. Complimentary licenses have no cash value and may not be converted to paid licenses.
4. Scope of Use
Licensee may:
- Access and use the Data Center Content solely for internal business purposes related to the Licensee’s Organization.
Licensee may not:
- Share access credentials with any other individual, whether inside or outside the Licensee’s Organization.
- Resell, sublicense, or distribute the Data Center Content externally.
- Copy, modify, or create derivative works of the Data Center Content for any purpose unrelated to the internal business purposes of the Licensee’s Organization.
5. Fees and Payment
Licensee agrees to pay the applicable license fee, if any, for the twelve-month License Term, as determined by CWC based on the Licensee’s organization’s membership status at the time of purchase. Payment is due at the time of purchase. Except as expressly stated in Section 3, no refunds or credits will be provided for early termination or expiration.
6. Renewals
Licenses may be renewed for additional twelve-month terms upon payment of the then-applicable license fee. Renewal pricing will be based on membership status at the time of renewal and subject to the terms in effect at that time.
7. Updates
During the term of any fully paid license, Licensee will be entitled to receive updates made by CWC to the Data Center Content.
8. Intellectual Property
CWC retains all rights, title, and interest in the Data Center Content. Licensee may not remove copyright notices or use the content to create derivative works beyond the scope of this Agreement.
9. Confidentiality
Licensee agrees to maintain the confidentiality of the Data Center Content and not disclose it to third parties except as permitted under this Agreement.
10. Termination
CWC may terminate this Agreement if Licensee breaches any term. Upon termination or expiration of the license term, Licensee must cease use of and access to the Data Center Content and delete any stored copies.
11. Limitation of Liability
CWC shall not be liable for indirect, incidental, or consequential damages arising from Licensee’s use of the Data Center Content.
12. Governing Law
This Agreement shall be governed by the laws of the District of Columbia.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior communications. Amendments must be in writing and signed by both parties.
ACCEPTANCE OF TERMS
By purchasing or otherwise accessing the CWC Data Center, Licensee acknowledges and agrees to the terms and conditions of this License Agreement. Completion of the purchase or activation of the license constitutes acceptance of this Agreement.
